These Terms of Service (“Agreement”) are entered into by and between you (“Customer,” “you,” or “your”) and Ioogn Technologies (OPC) Private Limited, a company incorporated under the laws of India, having its registered office at Duttapukur Station Road, Duttapukur, North 24 Parganas, WB 743248, India (“Ioogn Technologies,” “we,” “us,” or “our”), the parent company of Ioogn and the operator of the Nodewala platform.
By accessing or using the services provided by Nodewala, you agree to be bound by these Terms of Service, as well as any applicable laws and regulations. If you do not agree with these Terms, please do not use our services.
Nodewala offers cloud computing services, including virtual private servers (VPS), bare-metal servers, and related services (“Services”). These Services are powered by infrastructure from our third-party partners, and you acknowledge and agree that by using our Services, you are also bound by the Terms of Service of these third-party providers. These partners may include data center providers, network providers, and storage providers. By accepting these Terms, you consent to this arrangement.
To use Nodewala’s services, you must create an account. You agree to provide accurate, current, and complete information during the registration process, and to update such information to keep it accurate, current, and complete.
You are responsible for maintaining the confidentiality of your account credentials and are fully responsible for all activities that occur under your account. If you suspect any unauthorized use of your account, you must notify us immediately to mitigate any potential damage.
You agree to use our Services only for lawful purposes. You shall not use our Services to:
Failure to comply with these guidelines may result in the suspension or termination of your account, as we reserve the right to take necessary actions to maintain the integrity of our platform and the security of our services.
As part of providing our services, we partner with third-party companies for infrastructure services, including but not limited to data centers, networking, and storage solutions. You acknowledge that these third parties have their own Terms of Service, which you agree to comply with when using our Services. By using Nodewala, you agree to be bound by the terms of these third-party providers as well.
You agree to pay all applicable fees for the Services you select. All payments are due in advance, and services will not be rendered until full payment is received. Payments are non-refundable unless otherwise stated in these Terms or as required by law.
If payment is not made on time, we reserve the right to suspend or terminate your access to the Services. Any unpaid amounts must be settled before services are reactivated.
Nodewala makes reasonable efforts to ensure that its Services are available 24/7; however, there may be planned or unplanned outages. We are not responsible for any losses or damages resulting from service downtime, including but not limited to data loss, interruptions in service, or performance issues.
We will notify you in advance of any planned maintenance that may affect the availability of services. For emergency maintenance, we will make reasonable efforts to notify you promptly.
We take your privacy seriously and are committed to securing your personal data. We adhere to industry-standard practices to protect your information. You agree to provide us with accurate and complete information during registration and consent to the collection, use, and storage of your data as outlined in our Privacy Policy.
While we take reasonable measures to maintain high levels of security, you are responsible for securing your account and data, including setting strong passwords, enabling two-factor authentication, and monitoring any activity under your account.
In no event shall Ioogn Technologies (OPC) Private Limited, its affiliates, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, or data, arising from the use or inability to use our Services.
Our total liability to you for any claim related to our Services will not exceed the amount paid by you for the specific Service(s) involved in the claim, during the three (3) months immediately preceding the date the claim arose.
You may terminate your account at any time by notifying us through our support channels. Upon termination, you will no longer have access to the Services, and any unpaid fees will remain due.
We may suspend or terminate your access to the Services at our discretion, with or without cause, and without liability to you, if you violate these Terms of Service or any applicable law. All outstanding obligations, including any unpaid fees, must be settled immediately upon termination of the agreement.
This Agreement shall be governed by and construed in accordance with the laws of India. Any dispute arising from or related to these Terms shall be resolved through binding arbitration in Kolkata, India, in accordance with the rules of the Indian Arbitration and Conciliation Act.
Any legal actions arising out of or related to this Agreement must be initiated within 1 year of the incident that gave rise to the dispute. Failure to do so will result in the waiver of any claims.
Ioogn Technologies (OPC) Private Limited reserves the right to modify or update these Terms of Service at any time. Any changes will be effective immediately upon posting on this page. It is your responsibility to review these Terms regularly to stay informed of any changes.
